4.2. Paid subscriptions are billed in advance on a monthly or annual basis and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

4.3. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  1. In any way that violates any applicable national or international law or regulation.
  2. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
  3. To impersonate or attempt to impersonate HeadlessGPT, a HeadlessGPT employee, another user, or any other person or entity.
  4. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

6. API Usage and Rate Limiting

6.1. HeadlessGPT provides an API for integration with our Service. You agree to use the API in accordance with our documentation and these Terms.

6.2. We implement rate limiting on our API to ensure fair usage. You agree not to attempt to circumvent these rate limits.

7. Service Limitations

7.1. HeadlessGPT imposes limits on certain features, including but not limited to the number of chatbots, messages, and other functionalities. These limits vary based on the plan you have subscribed to.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

10. Limitation of Liability

In no event shall HeadlessGPT, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

11. Changes to Service

HeadlessGPT reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
